Terms of Service

Please read these Terms of Service carefully before using Kylova. By creating an account or using any part of the service, you agree to be bound by these terms.

1. About Kylova

Kylova is a business management tool designed to help New Zealand small businesses manage invoices, expenses, clients, employees, and financial reporting. Kylova is operated by Kylova Limited, a New Zealand company.

Kylova is not a financial adviser, accountant, tax agent, or legal adviser. Use of this platform does not create any professional advisory relationship between you and Kylova.

2. Your data

You own your data. All business data you enter into Kylova — invoices, clients, expenses, employee records, and financial figures — remains your property at all times. We do not claim any intellectual property rights over your data.

You are solely responsible for the accuracy, completeness, and legality of all data you enter into Kylova. Kylova displays and processes data as you provide it; we do not verify or validate the accuracy of your inputs.

3. Not a substitute for professional advice

Kylova provides tools to help you organise and view your business data. It is not a substitute for professional accounting, tax, legal, or financial advice. In particular:

• Tax calculations displayed in Kylova are estimates only. Always verify your actual tax obligations with the Inland Revenue Department (IRD) or a qualified tax agent.
• Payroll figures are calculated based on the information you enter and publicly available NZ tax rates. They may not account for your specific circumstances.
• GST summaries are for reference only. File your actual GST returns through myIR or with the assistance of your accountant.
• AI-generated insights are observations based on your data, not financial recommendations. See our Financial Disclaimer for full details.

4. Limitation of liability

To the maximum extent permitted by New Zealand law, Kylova Limited is not liable for any loss or damage arising from:

• Financial decisions made using information displayed in Kylova.
• Errors in tax calculations, payroll figures, or financial summaries.
• Reliance on AI-generated insights or observations.
• Inaccurate data entered by you or on your behalf.
• Service interruptions, data loss, or technical failures.

Where liability cannot be excluded by law, our total liability to you for any claim is limited to the amount you paid for the service in the three months preceding the claim.

5. Subscription and billing

• Kylova is offered on a monthly subscription basis, billed in New Zealand dollars (NZD) inclusive of GST where applicable.
• You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
• No refunds are provided for the current billing period upon cancellation.
• We reserve the right to change pricing with 30 days advance notice. Continued use after the notice period constitutes acceptance of the new pricing.

Free trial: If you cancel your account before your free trial ends you will not be charged. No credit card is required to start a free trial. Your trial ends automatically after 14 days unless you choose to subscribe.

6. Acceptable use

You agree not to use Kylova to:

• Engage in any illegal activity, including but not limited to tax fraud, money laundering, or financial crime.
• Enter false, misleading, or fraudulent business data.
• Attempt to gain unauthorised access to other users’ data or Kylova systems.
• Reverse engineer, copy, or redistribute any part of the Kylova software.
• Use the service in a manner that places unreasonable load on our infrastructure.

7. Termination

We reserve the right to suspend or terminate your account, with or without notice, in the following circumstances:

• Breach of these Terms of Service.
• Suspected illegal activity or misuse of the platform.
• Non-payment of subscription fees after reasonable notice.
• At our discretion, where continued provision of the service is not reasonably practicable.

Upon termination you may export your data within 30 days of the termination notice. After this period we may delete your data in accordance with our Privacy Policy.

8. Changes to these terms

We may update these Terms of Service from time to time. We will provide at least 30 days notice of material changes via email to your registered address and/or a prominent notice within the application. Continued use of Kylova after the effective date of changes constitutes your acceptance of the revised terms.

9. Governing law and jurisdiction

These Terms of Service are governed by the laws of New Zealand. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the New Zealand courts.
